Terms of Service
These Terms of Service (“Terms”) govern access to and use of the Your Flower Store website, software, and related services (the “Service”), operated by 48 Long Stems LLC (“Your Flower Store,” “YFS,” “we,” “us,” or “our”). By creating an organization account, connecting payment methods, opening a store, or placing an order through a store hosted on the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1. What Your Flower Store Is
Your Flower Store provides software and related support that lets schools, teams, boosters, and other fundraising groups (“Organizations”) operate branded online flower fundraiser storefronts. 48 Long Stems LLC also operates Flowers For Fundraising, which Organizations typically use to place wholesale flower orders related to their fundraiser.
We are not:
- the seller of the flowers to Supporters in the Organization’s storefront checkout (unless we expressly say otherwise in writing for a specific transaction);
- the merchant of record for Organization store payments collected through Stripe, PayPal, Venmo, Cash App, or cash to the Organization;
- a bank, money transmitter, or payment processor for those Organization payment methods;
- automatically placing a wholesale flower order merely because a Supporter buys online.
Wholesale flowers are typically ordered separately through Flowers For Fundraising, usually on a lead time of about seven (7) days before desired delivery. If an Organization does not place a final wholesale order, flowers will not ship.
2. Accounts and Eligibility
Organizations must provide accurate contact and payment information and keep it updated. You must be authorized to bind the Organization to these Terms.
We may refuse, suspend, or terminate accounts, hide stores, or block re-registration when we believe there is fraud, abuse, nonpayment risk, misuse of student data, or violation of these Terms.
Supporters may check out as guests. By submitting an order, a Supporter agrees to the parts of these Terms that apply to orders and payments.
3. Roles and Responsibilities
Your Flower Store / 48 Long Stems LLC provides the Service, optional Concierge guidance, storefront hosting, and wholesale fulfillment when an Organization places a wholesale order with Flowers For Fundraising.
Organizations are responsible for store content, pricing, tax settings, payment accounts/handles, confirming offline payments, customer service to Supporters, timely wholesale orders, flower handout/distribution, and compliance with school/booster rules.
Supporters are responsible for accurate order information, completing payment to the Organization, and contacting the Organization for storefront order issues.
4. Payments
When an Organization connects Stripe, PayPal, Venmo, Cash App, or chooses Cash, payments from Supporters are intended to go to that Organization, not into a Your Flower Store merchant account for those checkout flows.
Your Flower Store does not guarantee that a payment was received, matched, or for the correct amount, and is not responsible for processor fees, holds, chargebacks, or app-account bans.
Your Flower Store is not connected to Venmo or Cash App. We cannot see, match, or confirm that a Supporter paid. Missing payments, wrong amounts, fake claims, and disputes stay between the Organization and the Supporter.
Organizations set selling prices and any tax rate shown in the store and are solely responsible for tax collection, reporting, and remittance where required.
5. Orders, Inventory, Refunds, and Cancellations
- Online store orders are sales records and fundraising commitments, not an automatic wholesale shipment.
- Inventory may be reserved when an order is completed or when a Venmo/Cash App payment is started. Organizations should deny unpaid claims promptly.
- In-app refunds, if offered, are limited to methods the software supports (currently Stripe/PayPal via Organization credentials).
- Supporters should contact the Organization first for order issues.
6. Products, Wholesale Fulfillment, and Shipping
Storefront orders do not auto-create a wholesale order. Bulk flowers are typically delivered for Organization handout after a wholesale order is placed with Flowers For Fundraising. Some products may support individual shipping as gifts; not all products ship that way.
7. Content and Fundraising Claims
Organizations are solely responsible for logos, photos, text, CMS pages, fundraising claims, and compliance with applicable rules. You grant us a non-exclusive license to host and display Organization content as needed to operate the storefront.
8. Student, Participant, and Recipient Information
Organizations may upload student/participant lists and collect recipient names. Organizations represent that they have the right to provide that information and must follow applicable school and privacy rules. See the Privacy Policy.
9. Concierge and Guidance
Flower Concierge help is informational and operational guidance, not legal, tax, accounting, or fiduciary advice.
10. Fees
Your Flower Store does not charge a fee to set up or use the online storefront Service. Payment processors charge their own fees. Wholesale flower purchases through Flowers For Fundraising are separate. We may introduce platform fees later with notice as required by law or these Terms.
11. Acceptable Use
You may not misuse the Service, attempt unauthorized access, use stolen payment methods, misrepresent affiliation with a school or nonprofit, harass users, or use the Service for unlawful activity.
12. Suspension and Termination
We may suspend or terminate access, archive or hide stores, and block identifiers. Organizations remain responsible for outstanding wholesale obligations, Supporter communications, and payment disputes after suspension.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR FLOWER STORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability; Exclusive Remedy
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR FLOWER STORE / 48 LONG STEMS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST FUNDRAISING PROCEEDS, LOST DATA, OR BUSINESS INTERRUPTION.
BECAUSE THE YOUR FLOWER STORE STOREFRONT SERVICE IS PROVIDED FREE OF CHARGE, IF WE ARE FOUND LIABLE TO YOU FOR A CLAIM ARISING OUT OF OR RELATED TO THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS A SERVICE CREDIT OF UP TO ONE HUNDRED DOLLARS ($100) TOWARD A FUTURE PURCHASE FROM 48 LONG STEMS LLC ON OUR WEBSITES (INCLUDING FLOWERS FOR FUNDRAISING WHOLESALE PURCHASES). THE CREDIT IS NOT REDEEMABLE FOR CASH, HAS NO CASH VALUE, IS NON-TRANSFERABLE, AND MAY BE APPLIED ONLY TO ELIGIBLE PURCHASES WE DESIGNATE. UNLESS REQUIRED BY LAW, WE WILL NOT PAY CASH DAMAGES FOR SUCH CLAIMS.
This limitation and credit remedy apply to claims about the free storefront Service and do not rewrite separate wholesale purchase terms for flowers actually ordered and paid for through Flowers For Fundraising.
15. Indemnification
Organizations agree to defend and indemnify 48 Long Stems LLC (including its Your Flower Store and Flowers For Fundraising brands) against claims arising from Organization store content; fundraising practices; student/recipient data handling; payment disputes and chargebacks on Organization payment methods; tax obligations; misconfigured payment credentials or wrong Venmo/Cash App handles; and failure to place a timely wholesale order.
16. Third-Party Services
Stripe, PayPal, Venmo, Cash App, email providers, and hosting providers are third parties with their own terms. Flowers For Fundraising is operated by 48 Long Stems LLC; wholesale purchases may be subject to additional wholesale terms.
17. Changes
We may update these Terms by posting a revised version and updating the effective date. Continued use after changes become effective constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law rules.
